About the Job:

If you have a keen interest in merger & acquisition transactions, and would enjoy a client-facing role in a fast-paced environment of which a key aspect is to analyse the risks in such transactions – this role is for you.

We are looking for an underwriter in our fast-growing Singapore office, which serves as our APAC headquarters covering transactions across Asia Pacific, including Australia.

The position will provide the successful candidate with in-depth exposure to a wide variety of M&A deals across jurisdictions and the insurance industry in a client-facing environment. The successful candidate will receive guidance and on-the-job training from the company’s multi-disciplined underwriting team in Singapore as well as in EMEA and New York.

Responsibilities will include:

  • Utilizing legal and business skills to analyze risks associated with M&A transactions and make commercial decisions relating to transactional insurance coverage with respect to domestic and cross-border transactions
  • Managing deal processes with outside counsel, in-house underwriting professionals and broker partners
  • Establishing and expanding relationships with brokers, clients and other deal professionals
  • Reviewing and understanding transaction documents and risks associated with M&A transactions
  • Communicating and negotiating policy terms with lawyers, clients and brokers
  • All aspects of file management

Desired Qualifications, Skills, and Experience:

  • Two to six years of transactional experience at a major law firm or big four firm, including experience with conducting due diligence exercises, deal structuring, reviewing and working with transactional documents, negotiations
  • Recent working experience in a M&A market such as Australia, Japan, S.Korea, India or North Asia, will be a plus, but not a must.
  • Native or full professional language abilities in Chinese, Japanese, Korea will be a plus, but not a must.
  • Strong oral and written communication skills
  • Strong file management skills
  • Familiarity with financial statement analysis a plus, but not a must
  • Creative, commercial and practical problem-solving skills
  • Entrepreneurial, team-oriented
  • Comfortable in a fast-paced environment.
  • Ability to have fun whilst juggling transactions

Education Requirements:

  • Bachelor’s degree required.
  • Law or accounting degree preferred.

Work: Full-time.

Assistant Vice President, M&A Tax

About the Job:

Euclid is looking to add an Assistant Vice President with experience conducting tax due diligence in connection with M&A transactions. This position can be either fully remote or in our New York Office. Remote candidates will be expected to visit the New York office on a quarterly basis to better integrate with the broader team. Key responsibilities will include:

  • Evaluating target company information, transaction structures, and seller tax representations to identify key tax risks in a variety of M&A transactions.
  • Reviewing tax due diligence reports and other relevant information in preparation of the tax section of the RWI underwriting call.
  • Leading the tax section of the underwriting call and providing a timely and practical assessment of key tax risks and information gaps.
  • Supporting RWI underwriters in analyzing the materiality of tax-related exposures.
  • Continued development of tax skills and expertise by staying up to date on evolving tax trends and researching complex technical tax issues across a broad spectrum of jurisdictions.
  • Working collaboratively in a team focused environment with no billable hour requirements

Desired Qualifications, Skills, and Experience:

  • Three years of relevant experience, including executing M&A Tax due diligence engagements at a top public accounting firm or corporate tax department.
  • Deep knowledge of international tax relevant in the M&A/transactional context and Pillar Two regulations, OR of state and local tax
  • Ability to evaluate the materiality of risks and offer practical and commercial advice.
  • Strong interpersonal, communication, skills with a collaborative and team-focused approach.
  • Ability to multitask while working in a fast-paced, team-oriented and entrepreneurial environment.
  • Work: Full-time.
  • Work Schedule: Hybrid in New York or full-time remote.

Education Requirements:

  • Bachelor’s degree is required.
  • J.D., Tax LL.M. or Master’s in taxation (MST) from an accredited college/university is a plus.

Base Salary Range:

For candidates working remotely or in person in New York, NY, the reasonable annual base salary range for this specific position is $140,000 – $170,000. The position is also eligible for an annual target bonus of up to 25% of base salary.
