Mergers & Acquisitions (M&A) Claims Manager

Job Description

Position: An established transactional insurance company is looking for a candidate for an M&A Claims Manager position in its New York office. The M&A Claims Manager will work with the company’s Claims Officers, General Counsel and Underwriters, as part of the leading claims team in the transactional insurance industry. The position will provide in-depth exposure to claims from M&A deals and the insurance industry in a startup environment. Responsibilities will include:

  • Researching coverage issues and drafting correspondence to clients/insureds, including but not limited to coverage letters and other coverage correspondence
  • Directing claim investigations, including: running calls with clients/insureds and brokers, drafting information requests, retaining legal, financial and other advisors, and analyzing complex legal and valuation questions relating to breach of representations and Loss evaluation
  • Understanding and implementing regulatory and compliance initiatives related to claim handling
  • Communicating with a variety of business partners and constituents, including clients, brokers, and carriers

Qualifications:

  • Junior associate with two to six years of litigation experience at a large firm
  • Interest in M&A, or direct experience with M&A litigation or handling M&A transactions/deals
  • Strong oral and written communication skills
  • Attention to detail and very strong organizational and analytical skills are required
  • Team-oriented and comfortable in a fast-paced environment

Paralegal

Job Description

An established transactional insurance company is looking for a candidate to provide legal assistance and support to the Underwriting, Analyst, Claims and Counsel teams in a fast-paced setting.

Responsibilities will include:

  • Reviewing and revising confidentiality agreements, non-reliance letters, access letters, and collateral assignments.
  • Supporting Euclid’s core business, while interacting regularly with the company’s founders, underwriting teams, insurance brokers and outside counsel.
  • Managing and organizing data sets for prior and past deals.
  • Facilitating deal flow through our New York, EMEA, Canadian and UK offices by creating and maintaining relationships with various law firms and brokers through phone and email queries.
  • Balancing precedent with evolving forms throughout the deal cycle to protect our core interests while adapting to the everchanging transactional risk insurance space.
  • Assisting counsel team in the drafting of excess liability insurance policies, including review of primary policy and acquisition agreements.

Desired Skills & Experience: The ideal candidate will have possess the following: the ability to function well in a team as well as with people from all levels of the industry, internally and externally; the ability to balance a collegiate environment with an integrity-driven work product; excellent written and oral communication skills; detail oriented; a self-motivator (ability to take initiative; driven); the ability to present oneself in a professional manner; the ability to work independently and with minimal supervision; the ability to handle multiple tasks in a fast-paced environment; have experience with windows. Job Description:

An established transactional insurance company is looking for a candidate to fill a full-time Counsel role in our New York office. The candidate will work as a member of Euclid’s Counsel team, supporting the Underwriting, Analyst, and Claims teams. Our Counsel team presently consists of 10 lawyers and paralegals engaged in the negotiation and drafting of complex agreements supporting Euclid’s core business, while interacting regularly with the company’s founders, underwriting teams, insurance brokers and outside counsel. The position provides unparalleled opportunities to learn about Mergers & Acquisitions and transactional insurance in a fast-paced but collegial environment.

Responsibilities will include:

  • Reviewing and negotiating non-disclosure agreements, non-reliance letters, assignments and other documents with brokers and law firms;
  • Drafting complex insurance policies for (i) Representations and Warranties, (ii) Contingent Liability and (iii) Tax Liability insurance coverage; and
  • Supporting underwriters in the negotiation of the insurance policies throughout the deal process.

  • Law Degree required

You will work directly with the underwriting team, who evaluate M&A opportunities and businesses across industries and jurisdictions, and are recognized leaders in the transactional risk insurance space. The position will provide in-depth exposure to international M&A and the insurance industry in an entrepreneurial environment. Following a 3-6 months’ induction at our office in London, this role will be based in Copenhagen.

Responsibilities will include:

  • Analysing M&A transactions, including reviewing financial statements, business background information, due diligence material and purchase agreements
  • Managing a consistent stream of deal opportunities that consider the use of transactional risk insurance
  • Preparing quotes and policies
  • Developing marketing materials and presentations
  • Coordinating and communicating with insurance brokers, lawyers and clients

Desired Skills & Experience:

  • Recent graduate (or graduating this summer 2022) with a Master’s or Bachelor’s degree in law, business, finance or economics
  • 0-2 years’ relevant work experience
  • Fluency in English (spoken and written) is a must; knowledge of Danish, Swedish or Norwegian is advantageous
  • Proficiency in Microsoft Office Suite and knowledge of the Salesforce platform are advantageous
  • The ideal candidate will be ambitious, detail-oriented and a natural team player
  • Comfortable in a fast-paced environment

Work: Full-time with a 3-6 month induction at the start of employment based at our office in London (pandemic allowing). Following induction, this role will be based in Copenhagen. We offer a flexible mix of office and home based working.
