Sedi Asem is a Managing Director at Euclid Transactional. He is responsible for underwriting transactional risk in domestic and global mergers and acquisitions in a broad range of industries. Prior to joining the team, Sedi spent almost four years at White & Case LLP where he was a corporate attorney in the mergers and acquisitions group. Prior to that position, he was a government contracts accountant at CACI International. Sedi graduated with a B.B.A from Marymount University and holds a J.D. from the University of Virginia School of Law. In his spare time, Sedi enjoys traveling, attending live events and serves as the co-head of the mentoring program of DREAMChasers, an initiative that provides free tutoring and mentoring to low-income and underrepresented middle school students who are interested in attending one of New York City’s specialized high schools.

Alyvia Bruce is an Analyst on the underwriting team at Euclid Transactional, based in New York City. She is originally from Charlotte, Michigan and moved to Cambridge, MA in 2019 to attend Harvard University where she received her B.A. in Government with a secondary in History and language citation in American Sign Language. Prior to joining Euclid full-time, she ran her own tutoring company and educational non-profit for FGLI students and participated in Euclid’s Summer Analyst Internship Program. Outside of work she enjoys traveling, spending time outdoors hiking, golfing, or playing tennis and hanging out with her dog, Czarina.

Diana Calautti is a Senior Associate at Euclid Transactional, based in the New York office. She analyzes the insurability of transactions to provide clients with preliminary quotes and facilitates the underwriting process by coordinating with broker partners and outside legal advisors. Diana, a former Euclid intern herself, has organized and co-led our 8-week summer internship program, directly training our class of Analyst interns. As a member of our Diversity & Inclusion Committee and Euclid’s first female Analyst, she is an advocate for women in a primarily male industry. Diana graduated with a B.A. in Applied Mathematics from Harvard University. In her spare time, she enjoys drawing, painting, and exhibiting her artwork at local galleries in Westchester, New York.

Simon Chung is a Managing Director and the Head of Middle Markets at Euclid Transactional. Simon has been underwriting Representations & Warranties Insurance policies since 2015, focusing on middle market transactions. Prior to his career as an underwriter, Simon was an associate at Proskauer and McKenna Long & Aldridge (now part of Dentons), where he advised clients on corporate, employee benefits and tax matters. Simon received a J.D. degree from Emory Law School and a LL.M. in tax from NYU.

Corey Connelly is an Underwriter and Senior Vice President at Euclid Transactional. He was most recently at Troutman Pepper’s New York office where he was an associate in the M&A and General Corporate practice group. Prior to Troutman, Corey was an associate at Ropes & Gray where he worked in the Private Equity Transactions practice group. Corey received his J.D. from New York University School of Law and his B.S. from Stevens Institute of Technology. Corey grew up in the Kentucky but now calls New York home. He enjoys basketball, soccer, happy hours and the gym in his free time.

CJ Conway is a Senior Analyst at Euclid Transactional, based in the New York Office. In this role, he is responsible for analyzing initial M&A transactions, evaluating transactional risk, communicating to clients initial indications for Representations and Warranties Insurance, and working closely with underwriters and counsel throughout the underwriting process. CJ graduated with a B.S. from Montclair State University and holds an MBA in Finance. In his spare time, he enjoys playing golf.

Vikash Dodani is a Senior Associate at Euclid Transactional, based in the New York office. In this role, he is responsible for analyzing initial M&A transactions, evaluating transactional risk, communicating to clients initial indications for Representations and Warranties Insurance, and working closely with underwriters and counsel throughout the underwriting process. He graduated from Georgetown University with a B.A. in Economics. In his spare time, Vikash can be found playing basketball, listening to music, and working as a personal trainer.

Jeremy Feinberg is an Vice President at Euclid Transactional. His primary responsibilities include analyzing deal-specific risk across a variety of sectors, facilitating the underwriting process for live transactions, and maintaining strong, client-focused relationships with broker partners. In addition, Jeremy serves as a member of the Euclid Transactional Diversity & Inclusion Committee, working on a variety of initiatives that include holistic recruiting and educational company programming. When he’s not engaged in insurance work, Jeremy can be found conducting primary diligence at any one of New York City’s world-renowned pizzerias or sitting behind a drum set. Jeremy graduated in 2017 with a B.A. in Economics-Mathematics from Columbia University.

Jake Filak is a Managing Director at Euclid Transactional, where he underwrites Representations & Warranties and other transactional liability insurance policies. Prior to joining the team, Jake worked as an attorney at Lowenstein Sandler L.L.P with a focus on mergers & acquisitions and general corporate counseling. Jake holds a J.D. from Northwestern University School of Law.

Tim Grosso is a Managing Director at Euclid Transactional. He works across a variety of clients and is responsible for underwriting representation and warranty insurance policies. Prior to joining the team, Tim spent two years as a corporate associate at Dechert LLP, focusing on mergers & acquisitions. Prior to law school, he was a senior associate at Ernst & Young LLP, where he worked as a CPA in the business tax advisory group. Tim graduated with a B.S. in Accounting from Purdue University and holds a J.D. from the Fordham University School of Law.

Kimberly Heessels is a Senior Vice President and Underwriter at Euclid Transactional. Prior to joining Euclid, Kim was an M&A associate at Paul, Weiss, Rifkind, Wharton & Garrison LLP and Torys LLP. Kim received her J.D. from the University of Toronto in 2016 and her B.A.H. from Queen’s University in 2011. Kim enjoys being outdoors (in all seasons), and particularly enjoys skiing/snowboarding, hiking, and, for a change of pace, outdoor dining.

Libby Kern is an Analyst on the underwriting team at Euclid Transactional in the New York Office. She analyzes the risk associated with M&A transactions, provides clients with preliminary quotes, and facilitates the underwriting process by coordinating with broker partners and outside legal advisors. Prior to joining Euclid, Libby worked in business development at an EdTech startup. She graduated from Yale University with a B.A. in Art History. In her free time, she enjoys playing tennis, cooking, and exploring New York City.

Emilie Kilfoil is an Associate at Euclid Transactional. She assists with the initial stages of underwriting on a variety of corporate transactions. Prior to joining Euclid, Emilie worked in technology consulting and art education. She received her B.A. in the History of Art from Yale University in May of 2021. In her spare time, she enjoys cooking, running, and learning about art.

Andrew Kim is an Vice President at Euclid Transactional, based in the New York office. In this role, he helps clients understand the risks they need to consider when approaching a deal. Prior to joining the firm, Andrew interned at PricewaterhouseCoopers and Fitch Ratings, where he built strong analytical skills. Andrew graduated with a Bachelor of Business Administration from the University of Michigan. In his spare time, he can be found reading or playing sports.

Sean Kim is Underwriter, Senior Vice President at Euclid Transactional. He joined Euclid Transactional from Ropes & Gray's New York office where he was an Associate in the Private Capital Transactions practice group. Prior to Ropes, Sean was an Associate at Sidley Austin in their M&A and PE practice group. While at Sidley, Sean completed a legal secondment with the Global Equities team at Deutsche Bank. Sean received his JD from New York University School of Law and his BA from the University of Pennsylvania. Sean grew up in the Pacific Northwest but now calls New York home.

Kami is a Tax Underwriter and Senior Vice President at Euclid Transactional and is based in Los Angeles. Prior to joining Euclid, Kami worked as a tax attorney at Paul Hastings, where she provided counsel on a diverse range of domestic and international tax issues. Her focus at Paul Hastings centered on renewable energy tax incentives, where she represented various stakeholders including developers, investors, insurers, lenders, and buyers in navigating complex tax equity and credit transfer transactions.

Kami earned her JD from Loyola Law School of Los Angeles, where she served as the Editor-in-Chief of the Loyola of Los Angeles Law Review. While in law school, she worked as a judicial extern on the U.S. Court of Appeals for the Ninth Circuit and on the U.S. District Court for the Central District of California. Kami also holds an MS in Library Science and a BA in Art History from the University of North Carolina at Chapel Hill.

In her free time, Kami is an enthusiast of activities such as hiking and bouldering. She also enjoys solving the New York Times crossword puzzle and cheering for the Carolina Tar Heels.

Jeff Lash is Tax Underwriter, Senior Vice President at Euclid Transactional. Jeff joined us from Covington & Burling LLC, where he advised clients in a wide range of industries on complex and high-stakes federal income tax issues. Jeff has particular expertise with outbound international tax issues arising in connection with cross-border reorganizations. He also has significant experience with inbound international and wholly domestic tax planning. Before working at Covington, Jeff clerked on the U.S. District Court for the Northern District of California. He received his J.D. from Stanford Law School. He also holds an M.A. in Economics and a B.A. in Mathematical Economic Analysis from Rice University. When not reading the Internal Revenue Code, Jeff is likely planning his next trip to the ocean; over the past ten years, he has surfed at nearly 50 beaches on three continents.

Andrea D. Lawrence is a Managing Director at Euclid Transactional. She is responsible for underwriting representations and warranties insurance policies for complex transactions, including energy transactions, and brings approx. 15 years of experience across the legal, insurance and venture capital industries. Prior to joining Euclid, Andrea held various roles including an M&A Senior Underwriter at Tokio Marine HCC an M&A and Corporate Group Associate at Shearman & Sterling LLP. Andrea received her JD-ILA/MBA (JD with specialization in International Legal Affairs and MBA) from Cornell University and her BA in English Literature from UCLA, magna cum laude.

Ricky grew up in Brooklyn and graduated from the University of Maryland in December 2021 with a B.S. in Finance and Business Analytics. Prior to joining Euclid, he interned at Hilco Streambank working as a financial analyst working on valuing IP. His interests include watching and playing sports, movies, and music.

Jake Liebler is a Senior Associate at Euclid Transactional. He analyzes the insurability of transactions to provide clients with preliminary quotes and facilitates the underwriting process by coordinating with broker partners and outside legal advisors. Prior to joining Euclid, Jake worked in Technology Consulting and Investment Banking. He received his B.S. in Finance from New York University’s Stern School of Business in 2020. Jake grew up in Cortlandt Manor, New York and loves New York sports (Giants, Mets).

Sydney Lodge is a Senior Associate at Euclid Transactional. She analyzes the insurability of transactions to provide clients with preliminary quotes and facilitates the underwriting process by coordinating with broker partners and outside legal advisors. She recently graduated from the University of Pennsylvania with a BA in Mathematical Economics and a minor in Gender, Sexuality, and Women’s studies. Prior to joining Euclid, Sydney interned with the Federal Reserve Bank of Philadelphia in regional research as well as at Econsult, a boutique economic consulting firm. She was born and raised in Philadelphia, PA, and enjoys spending time with family and staying active.

Kathy Luan is an Analyst at Euclid Transactional, based in the New York office. She recently graduated from the University of Michigan with a B.A. in Economics and minors in Business Administration and Asian Languages & Cultures. Prior to joining Euclid, she worked in marketing at a national non-profit. Her interests include cooking, reading, and exploring New York City.

Cambrie Luce is an Analyst on the underwriting team at Euclid Transactional. She is originally from Texas and moved to New York in 2020 to attend The King’s College where she received her B.S. in Business Management with a conc. in Finance and minor in Pre-Law. Prior to joining Euclid full-time, she worked as an Executive Assistant at an Investment Bank and participated in Euclid’s Summer Analyst Internship Program. Her interests include hiking, baking, traveling, and picnicking in Central Park.

"Miranda” PengQian Ma is a Managing Director and Representations & Warranties Underwriter at Euclid Transactional. Prior to joining Euclid Transactional in 2021, Miranda was a Senior M&A Underwriter in AIG’s M&A Insurance Group. Prior to her underwriting career, Miranda has held several global and regional financial leadership roles in insurance companies including AIG and Prudential PLC in US and Singapore. She started her career in EY as an auditor and worked in their China and Singapore offices. Miranda is a chartered accountant (CA) in Singapore and a certified public accountant (CPA) in China. She has a Master of Science Degree in Finance from Guanghua Management School, Peking University, a Master in Legal Studies Degree from Washington University in St. Louis and a Bachelor of Science Degree in Finance from Shandong University.

Andre graduated from Columbia University in May of 2022 as part of the Columbia-SciencesPo Dual BA program, earning a BA in Economics. Andre was born and raised in San Francisco before moving to Reims, France in 2018 and then to New York in 2020. Andre has studied six languages including his native English and Bulgarian: French, Italian, German, and Portuguese. Andre enjoys fitness, discussing history, and stand-up comedy.

Camille Pham is a Senior Associate at Euclid Transactional. She analyzes the insurability of transactions to provide clients with preliminary quotes and facilitates the underwriting process by coordinating with broker partners and outside legal advisors. She recently graduated from Yale University with a B.A. in Political Science and Anthropology. In her spare time, she enjoys cooking and doing the Sunday crossword puzzle.

Bryce Pressentin is a Tax Underwriter and Senior Vice President at Euclid Transactional. Prior to joining the team, Bryce worked as a tax counsel for a large American multinational oil and gas company. Prior to that position, he worked for Ernst & Young (EY) in international tax and the oil and gas industry sector of their National Tax Department, where he worked on a wide range of corporate matters, including international reorganizations, corporate spin-offs, corporate integration, and legislative policy. Previously, Bryce was a tax counsel for the American Petroleum Institute (API), and he clerked in the tax department of the United States Senate Committee on Finance. Bryce holds a B.B.A in marketing from University of Wisconsin- Madison, a J.D. from Marquette University School of Law, and a Master of Laws (LLM) in taxation from New York University School of Law. Bryce has physically held two Heisman trophies (not at the same time because they are very heavy).

Kyle Reiter is an Assistant Vice President at Euclid Transactional, based in the New York office. Kyle works to support the underwriting group, assisting the individual underwriters on a collection of Representations and Warranties deals. Additionally, he functions as the Tax analyst, supporting the Head of Tax to help place tax insurance policies for transactional, strategic management, and tax credit risks. Prior to joining the team full time, he was a Summer Analyst. Kyle graduated Boston College with a double major in Finance and Mathematics.

Hasnaa El Rhermoul is a Senior Vice President on the Underwriting team at Euclid Transactional. She previously worked as an M&A and Private Equity Associate at Torys LLP and before that as a Corporate Associate at Fried Frank, both based in Manhattan. Hasnaa was born and raised in Morocco and she received a B.A. in International Relations from American University and a J.D. from Cardoza School of Law. Outside of work, Hasnaa enjoys hot yoga, boxing, hiking and volunteering with New York Cares.

Kurtis Rossie is an Underwriter and Vice President at Euclid Transactional, based in the New York office. His key responsibilities include assessing company materials and putting together indicative term sheets, facilitating underwriting processes, and assisting with underwriting insurance for M&A transactions across a broad range of industries. Kurtis brings a wide array of financial experience, having held previous roles in investment sales and wealth management to his role before joining the firm. Kurtis earned a B.S./B.A. in Finance from Fordham University.

Derek Shnider is an Underwriter and Vice President at Euclid Transactional. He is responsible for assessing company materials and underwriting Representations and Warranties insurance policies for M&A transactions across a broad range of industries. Prior to joining the team, Derek interned at Bank of America and in the Dow Jones private markets group. Derek graduated with a B.A. in Economics from the University of Pennsylvania. He is an avid skier, football fan, and dog enthusiast.

Arjun Sinha is a Senior Analyst at Euclid Transactional, based in the New York office. He is responsible for analyzing the risk associated with M&A transactions and quoting the initial terms for the underwriting process. Prior to joining the team, he worked in actuarial consulting and data science. He recently graduated from New York University’s Stern School of Business with a B.S. in Finance. In his free time, he enjoys running and following New York sports.

Chloë Steadman is a Managing Director and an Underwriter for Euclid Transactional. Chloë is responsible for underwriting Representations & Warranties Insurance policies for complex Mergers & Acquisitions transactions and Contingent Liability Insurance policies. Prior to joining Euclid Transactional, Chloë was a Business & Finance Associate at Ballard Spahr, LLP, where she advised clients on mergers and acquisitions and corporate finance matters. She also represented clients at the state and federal level as a lobbyist. Chloë received a J.D. degree from the Arizona State University in 2016 magna cum laude, Order of the Coif, where she was an Associate Editor on the Arizona State Law Journal. She received a B.A. in Political Science from the University of Arizona in 2013, magna cum laude.

Jordan Susko is the Vice President of M&A Tax. She earned her bachelor’s degree from Lehigh University and subsequently earned her J.D. from Temple University’s Beasley School of Law. After being admitted to the Illinois Bar, Jordan began her career at PwC in the State and Local Tax group based in Chicago. Following two years in SALT, Jordan transitioned into PwC’s federal M&A tax practice where she practiced for five years. During that time, she assisted clients on complex structuring engagements, as well as tax due diligence. Jordan likes to spend her free time with her husband and their two children, as well as working out and reading.

Simone Wark is a Senior Analyst at Euclid Transactional. She works alongside the underwriting team analyzing new insurance opportunities and facilitating the due diligence process. Prior to joining Euclid, Simone worked in higher education compliance, assisting with risk-management assessments to ensure the department’s adherence of NCAA/SEC regulations. Simone spent one year at Learfield IMG overseeing the acquisition and retention of corporate partnerships. Simone graduated with a B.S. from the University of South Carolina and holds a M.S. in Marketing from Loyola University Chicago.

Luke Wergeles is an Analyst on the underwriting team at Euclid Transactional in the New York office. He works to analyze the risk associated with M&A transactions and quoting the initial terms for the underwriting process. Prior to joining the team, he was a part of the Euclid Summer Analyst program. He recently graduated from the University of Maryland – College Park with a B.S. in Mathematics. In his free time, he enjoys watching New York sports (Yankees, Knicks, Jets) and playing basketball.
